Welcome to Gradcut. These Terms of Service (“Terms”) govern your access to and use of the website located at www.gradcut.com (the “Site”) and any related services, features, or content (collectively, the “Services”) provided by Edit on the Spot Pty Ltd (ABN: 38651049160, trading as Gradcut) (“we”, “us”, “our”). By accessing or using the Site or Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, do not access or use the Site or Services.

1. Changes to Terms & Modifications to Services

1.1 We may revise, update, or replace these Terms at our discretion at any time.
1.2 When we do, we will post the revised Terms on the Site with a new “Last updated” date.
1.3 Changes will only apply to Services accessed, used, or purchased after the effective date of the revised Terms.

4.2 Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services (excluding resale or commercial redistribution) for your internal, non-commercial purposes.
4.3 You may not copy, reproduce, republish, upload, post, transmit, or distribute any Gradcut Content without our prior written consent, except for your own use consistent with these Terms.
4.4 If you submit content (e.g., comments, feedback) to us, you grant us a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, adapt, modify, publish, translate, distribute, and display such content.

5. Payments, Pricing & Refunds

5.1 Some parts of the Services may be offered for a fee. If so, you will be required to pay the fees specified on the Site or otherwise agreed.
5.2 All fees are expressed in AUD (or as otherwise stated) and exclude applicable taxes (e.g. GST), unless specified.
5.3 We reserve the right to change pricing at any time. If you are a customer under a subscription or contract, changes will apply only after your current term.
5.4 Except as expressly stated, all payments are non-refundable.
5.5 If a payment is not made when due, we may suspend or terminate your access to the paid Services.

6. Termination & Suspension

6.1 You may terminate your use of the Services at any time by ceasing use and closing your account (if applicable).
6.2 We may suspend or terminate your access to the Services, or remove content, at any time for conduct we believe violates these Terms or is harmful to other users or us.
6.3 Termination or suspension does not relieve you of obligations accrued prior to termination (e.g. payment of fees).
6.4 Provisions intended to survive termination (e.g. warranties disclaimers, limitation of liability, indemnity) will survive.

7. Disclaimers & Warranties

7.1 The Services are provided “as is” and “as available,” without representations or warranties of any kind, whether express or implied, including implied warranties of merchantability or fitness for a particular purpose.
7.2 We do not warrant that access to the Services will be uninterrupted, error-free, secure, or free from defects.

7.4 To the fullest extent permitted by law, we limit our liability in connection with your use of the Services to the greater of (a) AUD 100 or (b) the amount you have paid us in the preceding 12 months.

9.2 We are not responsible for the content, products, or practices of such third parties.

10. Governing Law & Dispute Resolution

10.1 These Terms and your access to the Services are governed by the laws of the State or Territory of New South Wales, Australia, excluding conflict-of-law principles that might refer to another jurisdiction.
10.2 You agree to submit to the non-exclusive jurisdiction of the courts located in Sydney, NSW.
10.3 If any provision is held invalid or unenforceable, the remaining provisions remain in full force.

11. General Provisions

11.1 These Terms and any policies or rules posted on the Site constitute the entire agreement between you and us regarding the Services, superseding any prior or contemporaneous agreements.
11.2 Our failure or delay to enforce any right or provision will not constitute a waiver of that right or provision.
11.3 Headings are for convenience only and have no legal effect.
